How It Works

Mauritius Company Formation in 5 Steps

Your Mauritius company setup runs entirely remotely. 100% foreign ownership, no minimum share capital, and a licensed local team handling every submission on your behalf. Standard structures are operational in 3 to 4 weeks.

1

Choose Your Structure

We assess your business model, target markets, and home-country tax position. You leave with a confirmed structure: GBC, Authorized Company, LLC, or VCC.

2

Reserve Your Name & Prepare Your Documents

We reserve your trading name via CBRIS and prepare every document: Articles of Association, statutory forms, and certified KYC. Document quality here determines how fast everything moves.

3

Incorporate & Register with the MRA

We submit your file to the Registrar online. Your Certificate of Incorporation and Business Registration Number are issued within 3 working days. Tax registration with the MRA is automatic.

4

Obtain Your FSC Licence

Every GBC and Authorized Company requires a Global Business Licence. We submit directly through our management company licence. The FSC issues approval within 10 working days of a complete file.

5

Open Your Corporate Bank Account

We introduce your file to the right bank for your structure and transaction profile. Account opening runs in parallel with your FSC application. Most standard structures are fully operational within 3 to 4 weeks from start.

A Common Law Jurisdiction UK Founders Already Understand

Mauritius runs on a hybrid legal system built on English common law and French civil law. Company law, directors’ duties, and shareholder rights follow common-law principles UK founders already know. English is the working language of the courts and of every corporate document you sign. The final court of appeal is the Judicial Committee of the Privy Council in London, the same bench of UK Supreme Court judges that hears appeals across the Commonwealth.

Remote Setup

Online Company Registration in Mauritius

You do not need to set foot in Mauritius. Incorporation, FSC licensing, bank account opening, and ongoing administration are handled entirely by our local team. You provide the documents. We handle the rest, from submission to approval.

Can I Register a Company in Mauritius Online?

Yes, fully. Incorporation can be carried out online through the Companies and Business Registration Integrated System (CBRIS) by filling in the relevant application form and uploading the required documents.

For GBC and Authorized Company structures, the FSC licence application is submitted through your licensed management company via the FSC’s own online submissions platform. The entire registration process, from name reservation to Certificate of Incorporation, is handled digitally. No in-person attendance at any government office is required at any stage

How to Use the Mauritius Online Business Registration Platform

The entire registration process is handled digitally through the official CBRIS platform (Companies and Business Registration Integrated System). Name reservation, document submission, fee payment, and Certificate of Incorporation issuance all happen online.

You do not interact with the platform directly. You provide your documents; we handle every step from submission to approval.

Can I Manage My Mauritius Company Remotely?

Yes, in most cases and for most structures.

Mauritian bank accounts, companies, and funds can be set up without ever having to come to Mauritius. Once incorporated, your company is administered day-to-day by our team: we maintain the registered office, handle FSC and MRA filings, prepare board resolutions, and manage annual compliance on your behalf.

You retain full control as the beneficial owner and can direct the company’s business decisions remotely. Board resolutions can be signed as written resolutions without requiring physical meetings. Internet banking gives you direct access to your Mauritius corporate account from anywhere in the world.

The one practical consideration: for GBC structures, board meetings must include at least two Mauritius-resident directors and be properly minuted. This is handled by your management company as part of the substance administration service, not something you need to organise or attend in person.

Do I Need to Visit Mauritius to Set Up My Company?

No. Physical presence in Mauritius is not required at any stage of the standard GBC, Authorized Company, or LLC incorporation process.

We act as your local representative throughout: we submit documents to the Registrar, liaise with the FSC, open your bank account through our banking relationships, and manage all government interactions. Some banks may request a short video call with the beneficial owner as part of their KYC process, but this is remote and typically takes under 30 minutes.

If you later decide to relocate to Mauritius yourself, whether as an investor, professional, or retiree, that is a separate process involving an Occupation Permit or Residence Permit. But it is entirely optional and has no bearing on your ability to own and operate a Mauritius company from abroad.

Frequently Asked Questions

Mauritius offshore company formation means incorporating a structure that operates and earns income entirely outside the country. Two vehicles apply: a Global Business Company (3% effective tax, 45 tax treaties, substance requirements) or an Authorised Company (0% tax on foreign income, no treaty access, simpler setup). Both are FSC-regulated and incorporated fully remotely.
Government and FSC fees, management company fees, resident directors, registered office, and bank account setup are the main cost components. The total varies depending on your chosen structure, your activity type, and the level of ongoing compliance required. Request a quote and we will send you a full cost breakdown within 48 hours.
A standard GBC without a financial activity licence takes 3 to 4 weeks from document submission to a fully operational company with a bank account. A GBC with a regulated financial licence (fund management, investment dealing) takes 6 to 10 weeks. Document readiness is the biggest variable.
Yes, 100%. There is no requirement for a local partner, co-founder, or Mauritian shareholder. A foreign national can be the sole shareholder and beneficial owner of any company type in Mauritius, including GBC, Authorized Company, and LLC. The only local requirement is a resident director and licensed management company.
Choose your company type, reserve a trading name through CBRIS, prepare incorporation documents and KYC files, submit to the Registrar of Companies, apply for your FSC licence (GBC and AC), register with the MRA, open your corporate bank account, and obtain any sector-specific permits. The full process takes 3 to 6 weeks to incorporate a company in Mauritius.
You need certified passport copies and proof of address for all directors and shareholders, source of funds declarations, a business plan, Articles of Association, statutory Forms 1, 7, 8, and 9, and bank reference letters. Corporate shareholders must also provide their own Certificate of Incorporation, constitutional documents, and KYC for their UBOs.
Yes. Under Section 296 of the Companies Act 2001, any foreign company can redomicile to Mauritius without liquidation, without creating a new entity, and without interrupting operations. Existing contracts, banking relationships, and legal history carry over intact. Timeline is 4 to 8 weeks.
Yes. Under Section 296 of the Companies Act 2001, a UK Ltd can redomicile to Mauritius without liquidation and without creating a new entity. Contracts, banking relationships, and legal history carry over intact. Timeline is 4 to 8 weeks.
A GBC pays an effective corporate tax rate of 3% after the 80% partial exemption. An Authorized Company pays 0% on foreign-sourced income. There is no capital gains tax, no withholding tax on outbound dividends, no exchange controls, and access to 45 double taxation treaties covering India, France, South Africa, China, and others.
Yes. Foreign nationals can fully own, direct, and benefit from a Mauritius company without relocating. You do not need to live in Mauritius or hold a local permit to be a shareholder or beneficial owner. A licensed management company and at least one resident director handle the required local presence on your behalf.
A GBC is tax-resident in Mauritius, pays 3% effective tax, and accesses Mauritius treaty network. An Authorized Company is non-resident for tax purposes, pays 0% on foreign income, but cannot use tax treaties. GBCs require more substance; ACs suit simpler offshore structures with no treaty planning needs.
Yes. Every Mauritius company requires at least one ordinarily resident director. GBCs specifically require two resident directors of sufficient calibre to exercise independent judgment. These directors must hold genuine signatory authority over the company's Mauritius bank account. Most management companies provide this service as part of their standard administration package.
Annual audited financial statements filed within 6 months of year-end, annual tax return to the MRA, FSC annual return, company secretary duties, director and shareholder change notifications, and ongoing substance monitoring for GBCs. We handle all filings and compliance reporting as part of your administration package.
Yes. Bank account opening is fully remote for most GBC and Authorized Company structures. Your management company submits the KYC file to the bank on your behalf. Some banks may request a short video call with the beneficial owner. Physical presence in Mauritius is not required at any stage of the standard onboarding process.
Pass a board and shareholder resolution to wind up, clear all MRA tax liabilities and annual filings, close the corporate bank account, submit a voluntary strike-off application to the Registrar of Companies, and surrender the FSC licence for GBC and AC structures. The process is straightforward for solvent companies with no outstanding debts or litigation.
A VCC is a flexible corporate fund structure introduced in 2022, allowing multiple segregated sub-funds and SPVs under one umbrella entity. Each sub-fund's assets are legally ring-fenced. It is ideal for fund managers, private equity vehicles, and family offices running multiple strategies or investment mandates under a single governance and administrative framework.
Yes. Mauritius is on the OECD whitelist, fully compliant with BEPS Action 5, and has been removed from the EU list of non-cooperative tax jurisdictions. It also complies with FATF, FATCA, and the Common Reporting Standard. A properly structured Mauritius company will not flag your home-country bank or trigger blacklist concerns.
Yes. The UK–Mauritius Double Taxation Convention has been in force since 1981, last updated by protocol in 2018, with further changes under the OECD Multilateral Instrument effective in the UK from January 2021. It applies to GBC structures, which are Mauritius tax-resident. Authorised Companies are non-resident and cannot use it. Your own UK tax position depends on your residence, so we coordinate that review with a qualified UK adviser during onboarding.
